END USER LICENSE AGREEMENT (EULA)

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you ("the user") and UPSTRIVE GMBH for the use of the AlkalmaXP application ("App"). By downloading or using the App, you agree to be bound by the terms of this EULA.

2. License Grant

UPSTRIVE GMBH grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App for personal, non-commercial purposes strictly in accordance with the terms of this EULA. This license is granted to you as an individual and does not extend to any other user or entity. This EULA also covers any updates or upgrades to the App that UPSTRIVE GMBH may provide.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the App.
• Modify, adapt, or create derivative works of the App.
• Rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the App to any third party.
• Use the App for any unlawful purposes or in a manner that could impair the functionality or disrupt the services of the App.

4. Ownership

The App is licensed, not sold. UPSTRIVE GMBH retains all rights, title, and interest in and to the App, including all intellectual property rights.

5. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the App and delete all copies. UPSTRIVE GMBH reserves the right to terminate this EULA for all users at any time, in which case you will be notified appropriately.

6. Disclaimers and Limitation of Liability

The App is provided "as is" without warranty of any kind. UPSTRIVE GMBH does not warrant that the App will be uninterrupted or error-free. In no event shall UPSTRIVE GMBH be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the App, even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

7. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in [specific location], Germany.

8. Changes to this Agreement

UPSTRIVE GMBH reserves the right to modify this EULA at any time. Your continued use of the App after any such changes constitutes your acceptance of the new EULA. You will be informed of any changes via email or notification within the App.
